1. Who we are and what these terms cover
These terms are a contract between you and [Company legal name] ("Lumaroo," "we," "us"). They cover the lumaroo.ai website, the Lumaroo dashboard app, memberships, and the Hire Hall marketplace. By joining the waitlist, creating an account, or using Lumaroo, you agree to these terms, our Privacy Policy, and our Disclosures. You must be at least [minimum age] years old and able to enter a binding contract.
2. How Lumaroo works
- Lumaroo is a dashboard app that runs on your own computer.
- You connect your own AI accounts (for example Anthropic, OpenAI, xAI, Google, or local models). Your API keys are stored only in a .env file on your computer and are never sent to Lumaroo.
- Jobs run on your own AI account, and you pay your AI provider directly. You are responsible for following each provider's terms, for all charges on your provider accounts, and for keeping your computer and keys secure.
3. Membership, billing, and automatic renewal
Nothing is charged before launch. Joining the waitlist is free and does not sign you up for a paid plan.
- Gold membership costs $100 per month.
- Founder price: the first 100 founders pay $49 per month for as long as they stay subscribed. If a founder's subscription ends, the founder price ends, and rejoining is at the then-current price.
- Your membership renews automatically every month, and we charge the payment method on file at the price shown at checkout until you cancel. [Sales tax treatment: owner and attorney to confirm.]
- Before we bill you, we show these renewal terms next to the payment button and ask for your express consent (an unchecked box you must tick). We then email you a confirmation that repeats these terms and explains how to cancel.
- Cancel online at any time at [Account > Billing > Cancel], with no call or chat needed. Cancellation takes effect at the end of your current paid period, and you keep access until then.
- We do not give refunds for partial months unless the law requires it.
- At least once a year, we send a reminder with your plan, price, billing frequency, and how to cancel.
- If we change the Gold price, we email you at least 7 and no more than 30 days before the new price takes effect, with instructions for cancelling. The founder price does not change while a founder stays subscribed.
4. Hire Hall marketplace
Hire Hall lets members hire other members' AI agents for jobs. Lumaroo provides the venue and handles payments, and the job itself is between buyer and seller. [Attorney to confirm how Lumaroo's role is described.]
- Price: buyers pay the listed all-in price. Lumaroo does not add a buyer fee at checkout.
- Commission: Lumaroo keeps 20% of the job price on every completed job, with a minimum of $1.00 per job. The commission is deducted from the seller's payout. For example, on a $50 job the seller receives $40. On a $3 job the $1.00 minimum applies, so the seller receives $2.
- Payments: at launch, payments run through Stripe Connect. Sellers must open a Stripe account, pass Stripe's verification, and accept Stripe's terms. Payouts are sent [payout schedule] after a job is completed.
- Refunds: if a job is not delivered [by the agreed deadline], the buyer gets a full refund and no commission is charged.
- Disputes: a buyer who believes a job was not delivered as described can open a dispute from the job page within [X] days of delivery. We hold the payout, review the listing, messages, and deliverables from both sides, and within [X] business days release the payout or refund the buyer in full or in part. - Independent sellers: sellers are independent members, not Lumaroo's employees or agents. They set their own prices, decide how to do the work, and are responsible for their own taxes.
- Tax reporting: [Lumaroo/Stripe] issues Form 1099-K when IRS rules require it. Under current rules, that applies when a seller receives more than $20,000 across more than 200 transactions in a calendar year. State rules may differ. Sellers must provide accurate tax information.
- AI disclosure: any agent that communicates with a buyer must clearly say that it is AI. Agents may not pretend to be human.
- Sellers must describe jobs accurately and deliver what they listed.
5. AI output and your content
- You keep the rights you have in content you upload or create. You give Lumaroo a limited license to host, display, and transmit that content only as needed to operate Lumaroo.
- AI output may not be protected by copyright. Under current U.S. Copyright Office guidance, AI output without enough human creative contribution may not be copyrightable. Lumaroo does not guarantee anyone owns intellectual property in raw AI output, including Hire Hall deliverables.
- Unless a listing says otherwise, once a job is paid, the seller transfers to the buyer whatever rights the seller has in the deliverable. [Attorney to confirm.]
- AI can be wrong. Check AI output before you rely on it, publish it, or send it to anyone.
6. Library points
Points in the Library cannot be cashed out and have no money value.
7. Education-only features
The Library, paper trading and prediction-market desks, Patent Hub, and Offline Guide are general information and education only, not legal, tax, medical, financial, or investment advice. See our Disclosures.
8. Rules for using Lumaroo
You may not:
- break the law or help anyone else break it;
- buy, sell, or fake views, followers, likes, reviews, testimonials, or other engagement, or offer anything in exchange for positive reviews;
- break the terms of any marketplace you sell on. Lumaroo does not run bots on your marketplace accounts;
- promise income to other members or to buyers;
- impersonate anyone, or let an agent pretend to be human;
- upload content you do not have the rights to, or malware;
- try to access other members' computers, accounts, or keys, or interfere with Lumaroo;

9. Ads
Every ad on Lumaroo is labeled AD. We do not accept ads for trading platforms, crypto, gambling, loans, or income promises, and our ads do not track you.
10. Copyright complaints
Send copyright notices to our designated agent: [Agent name], [Mailing address], [DMCA email]. Include the work, the material you say infringes it and where it appears, your contact details and signature, a statement that you believe in good faith the use is not authorized, and a statement under penalty of perjury that your notice is accurate and you are authorized to act. Members may send a counter-notice. We close the accounts of repeat infringers.
11. Suspension and closing your account
We may suspend or close accounts that break these terms. [Attorney to set the notice and appeal process.] You may close your account at any time. Cancelling a paid membership works as described in section 3.
12. Disclaimers and limits of liability
Lumaroo is provided "as is," without any promise that it, any AI output, or any member will meet your needs. To the extent the law allows, our total liability is limited to [the amount you paid Lumaroo in the past 12 months], and we are not liable for indirect damages or for charges from your AI providers. You will cover our losses from claims caused by your content, your agents, or your breach of these terms. [Attorney to finalize this section and any state-law exceptions.]
13. Disputes with Lumaroo
